EXPLORING THE ROLE OF IN-HOUSE COUNSEL
(LAWA-4036) - 2 UNITS

In this course, you will be able to place yourself in the shoes of the General Counsel or an attorney reporting to the General Counsel and learn how to analyze and respond to a broad range of matters impacting public and private companies. Being an effective General Counsel and working in-house requires good judgment, leadership skills, and the ability to quickly and efficiently handle various legal and commercial issues that may arise. This class will focus on practical simulations based on, or largely derived from, actual legal matters that current corporate legal departments are experiencing today. In addition to simulation exercises, supplemental readings, sample documents, case studies and class discussions will expose students to the range of issues and challenges faced by in-house lawyers.

This course will be divided into several "modules" with each module led by an attorney specializing in the areas presented, under the direction and support of Professor Trevino. The attorney instructors have considerable in-house experience as General Counsel or senior in-house counsel. Instructors are expected to vary from year to year.

Topics are expected to include, but are not limited to, the role of the board of directors, how in-house lawyers communicate and interact with business executives and teams, corporate governance, risk management, employment and HR issues, managing outside counsel and handling finance and M&A transactions in-house.
